backnetwork is an online networking facility for people attending events. By creating an account, you will be able to set up an individual profile providing your contact details, business information, photographs and blogs. When you attend an event that subscribes to our service, you can link your profile into an event-specific backnetwork site. These will be hosted via �eventname.backnetwork.com�. By doing so, you will be able to connect to and network with anyone else attending the same event. You can arrange meetings, post notices, participate in online forums and generally ensure that you get the most from the occasion.

Our aim is to empower you. With any service like backnetwork, where users create the content, we rely on the responsible use of our facilities.

Who we are

Backnetwork.com is a trading name of Madgex Limited, a private limited company incorporated in England and Wales with its registered office at Suite One, Clarence House, 30-31 North Street, Brighton, East Sussex, BN1 1EB. In these terms and conditions we shall be referred to as "backnetwork" or �us� or "we", as the context permits. We are based in the United Kingdom.

Our Services

We operate the www.backnetwork.com website, which includes our central site and all event-specific backnetwork websites (collectively referred to as the"backnetwork Website") and other associated features, content, or applications offered from time to time by us in connection with the backnetwork Website (collectively, �Our Services").

These terms and conditions

These terms and conditions ( this "Agreement") set out the terms under which you may use Our Services. By using Our Services in any way, you are unequivocally agreeing to be bound by this Agreement. This Agreement applies equally to:

  • "Visitors" (those simply browsing the backnetwork Website); and
  • "Subscribers" (those who have registered with us); and
  • "Users" (the term we use to refer to both Visitors and Subscribers)

Your full acceptance of this Agreement is an essential pre-condition of your use of Our Services. If you do not agree with this Agreement or any part of it, you should leave the backnetwork Website and discontinue use of Our Services immediately.

ACCEPTABLE USAGE

  1. Permission to use. We hereby give you permission to use the backnetwork Website as set out in this Agreement provided that
  1. Your use of Our Services is permitted solely for your reasonable, non commercial (meaning not profit-making) use except as otherwise specifically endorsed or approved by us;
  2. You will not copy or distribute or otherwise seek to exploit any part of Our Services without our prior written permission;
  3. You will not alter or modify any part of the backnetwork Website without our prior written permission except as reasonably required in the normal operation of the backnetwork Website;
  4. You will at all times comply with this Agreement as amended from time to time.
  1. Eligibility. You may not use Our Services where to do so would breach any law or regulation. To be eligible to use Our Services, you must be either 18 years of age or over, or an emancipated minor, or possess legal parental or guardian consent, and be fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement. In any case, you affirm that you are age 14 or over. If you are under 14 years of age, then please do not use Our Services. Your profile or any other information submitted by you may be deleted and your Subscription may be terminated without warning, if we believe that you are not eligible under this Agreement to use Our Services or to become a Subscriber.
  2. Accounts. In order to become a Subscriber you will have to create an account. You must provide accurate and complete information when you sign up. You must maintain the accuracy of this information. You may terminate your Subscription at any time by following the online instructions. We may terminate your Subscription or any of your rights under this Agreement at any time without notice.
  3. Access. Only you may access you account. You are solely responsible for the activity in your account and you must keep all log in details and passwords secure. Never provide your account details to anyone else. Never attempt to access another Subscriber�s account. You must notify us immediately if you become aware of any unauthorised or suspected unauthorised use of your account. While we will not be liable for any loss caused to you by such unauthorised use, you may be liable for any losses or damage caused to us or any third parties by such unauthorised use.
  4. Duration. This Agreement shall remain in full force and effect for as long as you use Our Services or are a Subscriber, whichever is later.
  5. Fees. We may charge for Our Services and change our fees from time to time in our discretion as advised to you on the backnetwork Website or otherwise. Specific payment terms will be advised to you as appropriate. You will always be advised of charges before you incur them.
  6. Specific prohibited uses. You must not use Our Services for the following purposes, which is only a partial list:
  1. Illegal and/or unauthorised purposes;
  2. Collecting usernames and/or email addresses of Subscribers by electronic or other means for the purpose of sending unsolicited email, sending direct mail advertising or cold calling;
  3. Framing of or linking to the backnetwork Website;
  4. Commercial advertisements, affiliate links, and other forms of solicitation;
  5. Launching any automated systems, including without limitation �robots�, �offline readers�, �spiders� or other programs that access the backnetwork Website in a manner that sends more request messages to our servers in a given period of time than you could otherwise reasonably produce manually in the same period using a conventional online web browser.
  6. Collection or processing of any personally identifiable information, including account names, email addresses and contact details for any unauthorised purpose.
  7. Posting prohibited content, including anything that:
  • is offensive, racist, bigoted or promotes hatred or physical harm of any kind against any group or individual;
  • harasses another person;
  • exploits people in a sexual or violent manner;
  • contains nudity, violence, or offensive subject matter or contains a link to an adult website;
  • solicits personal information from anyone under 18;
  • provides any telephone numbers, street addresses, last names, URLs or email addresses;
  • is false or misleading;
  • encourages abusive, threatening, obscene, defamatory or libellous activities;
  • constitutes or encourages intellectual property infringement, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
  • involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
  • contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
  • uses passwords or personal identifying information for commercial or unlawful purposes from other Users;
  • involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
  • includes a photograph of another person that you have posted without that person's consent.

We reserve the right to investigate and take appropriate legal action against anyone who we believe, in our sole discretion, breaches these terms, including without limitation, removing the offending communication from Our Services and terminating Subscription.

Intellectual property rights

Definitions:

�Our Content�:
means all content on the backnetwork Website and/or incorporated into Our Services except Your Content (defined below) but including without limitation all text, software, scripts, graphics, photos, sound, music, videos and interactive features;

�Our Marks�:
means all proprietary names, brands, trade marks, service marks, images and logos used by us within Our Services, including but not limited to BACKNETWORK, BACKNETWORK.COM and the BACKNETWORK logo;

�Your Content�:
the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Your Content") that you post to Our Services.

OWNERSHIP

Our Content: Our Content is owned by or licensed to us, subject to copyright and other intellectual property rights under UK and foreign laws and conventions. Nothing in this Agreement implies any grant of rights to you in Our Content except as specifically set out herein.

Our Marks: Our Marks belong solely to us, whether registered, applied for or unregistered.

Your Content: must be owned by or properly licensed to you prior to you posting it to Our Services. You affirm, represent and warrant that (a) you own Your Content posted by you on or through Our Services or otherwise have the right to grant the licence set out below in this section and that (b) the same does not violate any privacy rights, publicity rights, trade mark rights, copyright, contract rights or any other intellectual property rights of any person or entity (c) that you have the right to use all patent, trademark, trade secrets, copyright or other proprietary rights in and to any and all Your Content to enable inclusion and use of Your Content in the manner contemplated by the backnetwork Website and this Agreement and (d) you have the written consent, release, and/or permission of each and every identifiable individual person in Your Content to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of Your Content in the manner contemplated by this Agreement. You further agree to pay for all royalties, fees, and any other monies owing any person by reason of any of Your Content posted by you to or through Our Services.

USAGE

Our Content: We hereby grant you a limited, revocable, non-sublicensable licence to reproduce and display Our Content (excluding any software code) solely for your personal use solely in connection with viewing the backnetwork Website and using Our Services.

Our Content is provided to you on an AS IS basis for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. We reserve all rights not expressly granted in and to Our Services and Our Content. You agree to not engage in the use, copying, or distribution of any of Our Content other than expressly permitted herein. If you download or print a copy of Our Content for personal use, you must retain all copyright and other proprietary notices contained therein. Our Marks: Nothing in this Agreement grants you or implies any right for you to use Our Marks other than in a purely descriptive sense and in no circumstances may you use Our Marks in the course of trade in relation to any goods or services covered by our registered or pending trade marks, or goods or services which are or may become associated with us or Our Services.

Your Content: By displaying or publishing Your Content on or through Our Services, you hereby grant to us a non-exclusive, fully-paid, sub-licensable, royalty-free, worldwide, irrevocable licence to use, modify, create derivative works of, publicly perform, publicly display, reproduce, and distribute Your Content on and through Our Services at our sole discretion.

Feature Profiles: In addition, as part of the above licence, you agree that we may feature your Subscriber Profile on the backnetwork Website on our homepage or elsewhere at our discretion. You agree that we may add our own editorial to this feature and encourage forum discussions and blog threads about it.

No obligation: Notwithstanding this licence, at our sole discretion we may reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of Our Services at any time, for any or no reason, with or without prior notice, and without liability. If at any time we choose, in our sole discretion, to monitor Our Services, we nonetheless assume no responsibility for any content, no obligation to modify or remove any inappropriate content, and no responsibility for the conduct of the User submitting any such content.

CONTENT WARNINGS, DISCLAIMERS AND LIMITATIONS

Content Warning. You are solely responsible for Your Content and any material or information that you transmit to other Subscribers and for your interactions with other Users. You acknowledge that we cannot monitor each Subscriber�s Profile or other content posted on the backnetwork Website. You should be aware that information provided by other Subscribers (for instance, in their Profile) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and we assume no responsibility or liability for this material. If you become aware of misuse of Our Services by any person or company, please contact info@backnetwork.com.

Links. Profiles created and posted by Subscribers on the backnetwork Services may contain links to other websites. We are not responsible for any third party websites, the accuracy or opinions expressed on such websites, and do not investigate, monitor or check such them. If any linked website is included in Our Services, this in no way implies our approval or endorsement of the linked website by us. If you access these websites, you do so at your own risk. We take no responsibility for third party advertisements which are posted on the backnetwork Website or through Our Services, nor do we take any responsibility for the goods or services provided by our own advertisers. We are not responsible for the conduct, whether online or offline, of any User.

Technical problems and unavailability. We are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the internet or on any of Our Services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with Our Services. Under no circumstances shall we be responsible for any loss or damage, excepting personal injury or death, resulting from use of Our Services, attendance at any event, from any content posted on or through Our Services, or from the conduct of any Users, whether online or offline.

GENERAL DISCLAIMER: YOU AGREE THAT YOUR USE OF OUR SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH OUR SERVICES AND YOUR USE THEREOF.

GENERAL LIMITATION: IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFIT OR DAMAGE TO REPUTATION ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR OUR SERVICES DURING THE TERM OF YOUR SUBSCRIPTION.

NOTICE: Nothing in the above shall limit our liability for personal injury or death, nor shall your statutory rights be affected.

Confidentiality. You understand that whether or not we publish anything submitted by you to Our Services including Your Content, we do not guarantee any confidentiality with respect to any submissions or Your Content.

Location. Our Services are controlled and offered to you by us from our facilities in the United Kingdom. We make no representations that Our Services are appropriate or available for use in other locations. If you access Our Services from other jurisdictions you do so at your own volition and are solely responsible for compliance with local law.

SITE INTERACTIONS

Copyright infringement. We do not permit copyright infringing activities and infringement of intellectual property rights via Our Services, and we will at our discretion remove all of Your Content if properly notified that Your Content may infringe another's intellectual property rights. We reserve the right to remove Your Content for any reason without prior notice.

Making a copyright complaint. If you believe that your work has been copied and posted on Our Services in a way that constitutes copyright infringement, please contact us immediately atinfo@backnetwork.com with full details of your allegations supported by a sworn statement of truth. We will consider the circumstances and will let you know if there is anything we can do to assist in our sole discretion, but can take no responsibility for any third party conduct in this regard and do not undertake to take any remedial action other than as required to by law. If we decide or are required to take further action, you agree to provide whatever other information and documents as we may reasonably need or are required to obtain from you at your sole expense.

Other Subscribers. You are solely responsible for your interactions with other Subscribers. We reserve the right, but have no obligation, to monitor disputes between you and other Subscribers. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Subscriber communication.

Indemnity. You agree to defend, indemnify and hold us, our subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable legal fees, made by any third party due to or arising out of your use of Our Services in breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any of Your Content causes us to be liable to another.

Privacy

Use of Our Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.

Dispute Resolution

If any dispute arises between us or about or involving Our Services, you agree that the dispute shall be governed under English law and you further agree to submit to the exclusive jurisdiction of the English courts. Notwithstanding this, either we or you may demand that before any court proceedings are commenced, that we first attempt to resolve any dispute between us and you about or involving Our Services by non-binding mediation procedures of CEDR (Centre for Effective Dispute Resolution), provided that this shall not prevent us from seeking injunctive relief against you or proceeding straight to court in any debt dispute.

General legal matters

Entire Agreement. This Agreement constitutes the entire agreement between you and us regarding the use of Our Services.

No partnership. Nothing in this Agreement shall create a partnership or agency relationship between us.

No waiver. Any failure by us to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.

Titles. The section titles in this Agreement are for convenience only and have no legal or contractual effect.

Assignment. This Agreement and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction.

Enforceability. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

Amendments to this Agreement

We may amend this Agreement from time to time at our sole discretion and any changes shall be effective and binding on you as soon as we post them onto the backnetwork Website. By continuing to use the backnetwork Website or ours Services after changes such changes have been posted, you are confirming your unequivocal acceptance of them. You should therefore regularly review this Agreement to ensure you are updated as to any changes.
